The Board of Directors is the company’s organ fully responsible for managing the Company in the best interests of the Company and in order to achieve its objectives, as well as representing the Company both inside and outside the court in accordance with the provisions of the Company’s Articles of Association. Decisions regarding issues and challenges faced by the Company are made promptly and based on thorough analysis.
DUTIES AND RESPONSIBILITIES OF THE BOARD OF DIRECTORS
The main duties of each member of the Board of Directors are to:
- Obliged with good faith and full responsibility to perform their duties for the best interest of the Company in accordance with purpose and objectives of the Company;
- Take full personal responsibility should he/ she be guilty or negligent in carrying out his/her duties in accordance with the set provisions;
- Obliged to establish shareholders register, special register, minutes of GMS, and minutes of meetings of the Board of Directors;
- Obliged to establish annual report and financial document of the Company according to the applicable laws and regulations;
President Director
Indonesian citizen, born in Banyuwangi in 1961. He has served as Director of the Company since 2025. He is also currently serving as Commissioner of PT Intermedia Capital Tbk. since 2024. He previously served as Minister of Tourism of the Republic of Indonesia from 2014 to 2019, President Director of PT Intermedia Capital Tbk. from 2020 to 2024, President Commissioner of PT Viva Media Baru from 2021 to 2022, President Director of PT Telekomunikasi Indonesia Tbk. from 2012 to 2014, and Director of Enterprise and Wholesale at PT Telekomunikasi Indonesia Tbk. from 2005 to 2012.
EDUCATIONAL BACKGROUND
Mr. Arief Yahya obtained his Electrical Engineering degree from the Bandung Institute of Technology in 1986; received a Master of Science degree in Telematics Software & Telecommunications from the University of Surrey, UK and a Doctorate in Business Management from the University of Padjajaran, Bandung in 2014.

He is an Indonesian citizen, born in Jakarta in 1972. He has served as the Vice President Director of the Company since 2025. He is also currently serving as Commissioner of PT Bakrie Telecom Tbk. since 2021, Commissioner of PT Cakrawala Andalas Televisi since 2022, and President Director of PT Bakrie Global Ventura since 2022. Previously, he served as Commissioner of PT Viva Media Baru from 2020 to 2021, President Director of PT Bakrie Telecom Tbk. from 2013 to 2016, and Director of PT Bakrie Swasakti Utama from 2002 to 2004.
EDUCATIONAL BACKGROUND
Mr. Jastiro Abi obtained his Engineering degree from the Diponogoro University in 1995; received a Master of Engineering Science degree from Queensland University of Technology Australia in 1997, Master of Business Administration degree from University of Western Australia in 2005, and a Doctorate degree from BINUS University in 2017.

Director
He is an Indonesian citizen, born in Riau in 1962. M. Sahid Mahudie has served as Director of VIVA since 2014. Currently, he also serves as Commissioner of PT Redal Semesta since 2019, Director of PT Bakrie Global Ventura since 2022, Director of PT Asia Global Media since 2013, and Commissioner of PT Redal Semesta since 2019. He previously served as Commissioner of PT Cakrawala Andalas Televisi from 2020 to 2021, Director of PT Redal Semesta from 2015 to 2019, Vice President of PT Bakrie Global Ventura (formerly PT CMA Indonesia) from 2006 to 2013, President Director of PT Semesta Marga Raya from 2003 to 2007, Finance Director of PT Austral Byna from 2002 to 2003, and Chief Financial Officer of PT Tipperary Indonesia from 2000 to 2003.

M. Sahid Mahudie earned a Bachelor’s degree in Accounting from the Indonesian College of Economics (Sekolah Tinggi Ilmu Ekonomi Indonesia – STEI) in 1998. He also obtained a Master of Laws degree in Business Law from Padjadjaran University, Bandung, in 2014.

He previously served as Director of PT Redal Semesta from 2012 to 2015, Deputy Director of Legal and Programming Services at PT Cakrawala Andalas Televisi from 2009 to 2011, Director of Legal and Compliance at Quantum Multimedia Communication Pty. Ltd., Melbourne, Australia from 2003 to 2009, Director of PT Quantum Bahana Enterprise from 2002 to 2009, and Director of Iridium South Pacific Pty. Ltd. from 1997 to 1998. He has also held several important positions, including Vice Chairman I of the Indonesian Private Television Association since 2019, Chairman of Digi Broadcast of the Indonesian Telematics Society (MASTEL) since 2021, Vice Chairman of the Broadcasting Committee of the Indonesian Chamber of Commerce and Industry (KADIN) from 2015 to 2021, and Secretary General of the Indonesian Advertising Council from 2015 to 2020.

Neil R. Tobing earned a Bachelor of Laws degree from Parahyangan Catholic University. He completed his studies at the University of New South Wales, Sydney, Australia, obtaining a Master of Laws (LL.M) degree specializing in Media and Information Technology Laws, as well as a Master of Commerce (M.Com) in International Business.
