The Board of Commissioners is an important organ of the Company which oversees the tasks and responsibilities of the Board of Directors in managing the Company. The Board of Commissioners is held accountable to the GMS. In performing its oversight function, the The Board of Commissioners is assisted by the Corporate Secretary, the Audit Committee, the Risk Management Committee, the Nomination and Remuneration Committee, and the Strategic Committee on a regular basis. In carrying out its functions, the Board of Commissioners is always maintaining the independence principles by not engaging in activities and the managerial decision-making process of the Board of Directors.
DUTIES AND RESPONSIBILITIES OF THE BOARD OF COMMISSIONERS
The duties and responsibilities of the The Board of Commissioners consists of supervising management policies implemented by the Board of Directors, including strategic plan, business plans, and the annual budget, the Board of Directors compliance to the provision of the Articles of the Association, GMS resolution and the prevailing laws and regulations. Specifically related to the implementation of Good Corporate Governance practices, the Board of Commissionershas the following duties and responsibilities:
- Monitor the effectiveness of GCG implementation by the Company and Subsidiaries and make adjustments when necessary;
- Provide opinions and suggestions for the implementation of GCG within the Company and Subsidiaries.
President Commissioner
Anindya Novyan Bakrie is an Indonesian business magnate, global investor and prominent philanthropist. Through his business community leadership roles over the years, He represents Indonesia and Indo-Pacific business community voices in global fora and summits.
He is the founder and President Director of PT Visi Media Asia Tbk (VIVA) a leading integrated media convergence company in Indonesia, which owns tvOne (#1 News/Sports nationwide broadcaster), ANTV (tier 1 entertainment nationwide broadcaster) and VDVC a fast growing digital media company. In total, VIVA Group has a direct reach to over 200 million people nationwide. He also serves as the CEO of Bakrie & Brothers (BNBR) an Indonesian listed conglomerate with interests in infrastructure, electric vehicle, mining, oil & gas, power (incl. renewables and solar), property, and plantations. He is also the successor to the 80-year-old Bakrie group, one of the largest business groups growing with and for Indonesia, with 10 companies listed on the Indonesia Stock Exchange with a combined market capitalization of over US$15 billion. He concurrently serves as President Commissioner of PT Bakrie Global Ventura since 2022, Commissioner of PT Bakrie Sumatra Plantations Tbk since 2012, President Commissioner of PT Intermedia Capital Tbk since 2013.Previously he served as Commissioner of PT Lativi Mediakarya (2017-2020) and Commissioner of PT Cakrawala Andalas Televisi (2019-2020).
He serves as the Chairman of Supervisory Board (2021-2025) at Indonesia Chamber of Commerce and Industry (KADIN) which is the statutory body of business organisations in Indonesia representing 34 provincial KADIN and +100 thousand businesses nationwide. He also serves as the Chairman of APEC Business Advisory Council (ABAC) Indonesia (appointed by two different Indonesian President) – established by APEC in 1995 as the official private sector arm to drive the regional economic cooperation. Through his leadership, ABAC Indonesia initiated the first Indonesia Impact Fund (IIF). Additionally, he is the elected Chairman of the Indonesian Aquatics Federation (PRSI).
He joined the board of director at Oxford United Football Club since 2018 as he led the takeover of majority ownership of the club to be one of the first Indonesian majority owned English football clubs. As a global investor, he is pivoting the Group onto sustainable and digital investments in Electric Vehicle, Batteries, Renewables (mainly Solar PV), Prefab housing as well as Fintech and other emerging technologies.

Anindya Novyan Bakrie completed his education at Northwestern University, Illinois with a Bachelor of Science degree majoring in Industrial Engineering in 1996 and M.B.A. from Stanford Graduate School of Business-California, United States, in 2001.

Currently, he also serves as President Director of PT Ilthabi Rekatama since 2012, President Commissioner of PT Bank Muamalat Indonesia since 2018. Previously, he has served as Independent Commissioner of PT Intermedia Capital Tbk from 2013 to 2019, President Commissioner of PT Ilthabi Energia from 2009 to 2015, Commissioner of PT Citra Tubindo Tbk from 2004 to 2016, Assistant Head of BPPT for Aeronautics and Advanced Technology from 1996 to 1998, Lecturer at the Faculty of Industrial Engineering, Bandung Institute of Technology from 1997 to 1999, Commercial Director of PT Dirgantara Indonesia (Persero) from 2000 to 2001, Operational and Commercial Director of PT Dirgantara Indonesia (Persero) from 1999 to 2000, Vice President Executive Director of Aircraft Business Unit-Manager of PT Dirgantara Indonesia (Persero) Regional Jet N2130 Program from 1997 to 1999, Deputy President Director-Program Manager of N2130 Regional Jet since 1995–1997, and Assistant Director Principal for the N2130 Regional Jet Program from 1994 to 1995.

Ilham Akbar Habibie completed his education at the Technische Universität München in 1987 with a Diplomarbeit (Strata 2) degree, a Dipl.,-Ing from the Technische Universität München majoring in Aeronautical Engineering in 1987, and a Dr.,-Ing degree from the Technische Universität München majoring Aeronautical Engineering. He successfully completed the International Executive Program at INSEAD, France, and Singapore in 1999, and obtained his Master of Business Administration degree from the University of Chicago, United States of America majoring in Business in 2013.

He is an Indonesian citizen, and was born in Jakarta in 1951. He has served as Commissioner of VIVA since 2008, and was reappointed based on a Shareholder Decree contained in Deed No. 58 dated November 11, 2016 made before Humberg Lie S.H., M.H., M.Kn., a notary in Jakarta (“Deed No. 58/2016”). Currently, he also serves as Commissioner of PT Bakrie Capital Indonesia since 2008. Throughout his career, he has held various important positions, including as CEO of PT Cakrawala Andalas Televisi from 1998 to 2002, Commissioner of PT Cakrawala Andalas Televisi from 2005 to 2012, Director of PT Bakrie Capital Indonesia from 2002 to 2008, and Director of Bank Nusa Nasional from 1994 to 1998. He started his career at Pertamina in 1971.

Omar Luthfi Anwar obtained a Bachelor’s degree from the University of Indonesia in 1981 and an M.B.A. from Golden Gate University, United States majoring in Banking & Finance in 1988.
